Terms of Service

Welcome to VenueScene (“VenueScene,” “we,” “our,” or “us”).
VenueScene is an online marketplace that connects venues and musical artists/bands (“bands”) for the purpose of discovering, booking, and facilitating live music performances.
By accessing or using VenueScene, you agree to these Terms of Service.
1. VenueScene's Role
VenueScene is a marketplace platform only.
VenueScene facilitates introductions, discovery, booking workflows, and payment processing between users, but VenueScene is not a party to any separate agreement between a venue and a band.
VenueScene does not organize, manage, supervise, employ, direct, or guarantee performances, bookings, attendance, event success, venue operations, or user conduct.
All booking arrangements are made directly between users.
2. Eligibility
By using VenueScene, you represent that:
- you are at least 18 years old
- you have legal authority to enter binding agreements
- if acting for a business, venue, or band, you are authorized to act on its behalf
- all information provided is accurate and current
3. User Responsibilities
Users agree to:
- provide truthful and accurate account information
- maintain current profile details
- communicate professionally
- honor confirmed bookings and commitments
- comply with all applicable laws, permits, licenses, venue rules, tax obligations, and performance requirements
Venues are responsible for:
- booking decisions
- venue operations
- event scheduling
- permits and compliance
- guest safety
- payment authorization
- communication with booked bands
Bands are responsible for:
- performance delivery
- punctuality
- communication
- maintaining accurate availability
- lawful operation and required licenses
- tax compliance
4. Payments
VenueScene may facilitate payments through third-party payment processors, including Stripe.
By using VenueScene, you agree:
- VenueScene may facilitate payment collection and payout processing
- your use of payment services is also subject to Stripe's terms and policies
- VenueScene does not directly store full payment card information
VenueScene may collect payments from venues and facilitate payouts to bands.
5. Fees
VenueScene may charge platform service fees.
At launch, VenueScene deducts a platform fee from band payouts.
Venues pay the agreed booking amount shown during the booking process unless otherwise disclosed.
VenueScene reserves the right to modify fee structures at any time.
6. Payouts
Band payouts are subject to:
- successful payment collection
- payment processor approval
- fraud review
- dispute review
- chargeback review
- platform operational review
- Stripe fund availability
VenueScene may delay, withhold, adjust, reverse, or cancel payouts where reasonably necessary, including for:
- disputes
- suspected fraud
- chargebacks
- failed performances
- cancellations
- policy violations
- payment processor restrictions
VenueScene is not a bank, escrow provider, or fiduciary.
7. Cancellations, No-Shows, and Disputes
Users are expected to resolve ordinary disputes directly.
However, VenueScene reserves the right (but not obligation) to review disputes involving:
- cancellations
- no-shows
- fraud
- payment disputes
- material booking issues
VenueScene may, at its discretion:
- pause payouts
- reverse transactions where permitted
- suspend accounts
- request documentation
- remove users from the platform
VenueScene makes no guarantee regarding dispute outcomes.
8. Chargebacks & Payment Disputes
If a venue initiates a payment dispute, chargeback, or fraud claim, VenueScene may:
- withhold current payouts
- recover previously paid funds where legally permitted
- offset future payouts
- suspend or terminate accounts
Users agree to cooperate with dispute investigations.
9. Prohibited Conduct
Users may not:
- create fake or misleading accounts
- misrepresent identity, venue, or performance capabilities
- harass or abuse other users
- attempt to circumvent VenueScene payment systems for bookings initiated through the platform
- engage in fraud
- upload unlawful, infringing, or misleading content
- interfere with platform operation
- misuse payment systems
10. Taxes
Users are solely responsible for their own taxes, reporting obligations, permits, and regulatory compliance.
VenueScene does not provide tax advice.
11. Account Suspension & Termination
VenueScene may suspend, restrict, or terminate accounts at any time for:
- violations of these Terms
- fraud concerns
- payment disputes
- abuse
- misuse of the platform
- operational or legal risk
VenueScene may remove listings, gigs, profiles, or content at its discretion.
12. No Warranty
VenueScene is provided “as is” and “as available.”
VenueScene makes no warranties regarding:
- uninterrupted access
- platform accuracy
- successful bookings
- user conduct
- event outcomes
- payment timing
- availability of bands or venues
13. Limitation of Liability
To the fullest extent permitted by law, VenueScene shall not be liable for:
- direct or indirect damages
- lost profits
- lost bookings
- reputational harm
- cancellations
- no-shows
- performance disputes
- user misconduct
- third-party payment processor failures
- payment delays outside VenueScene's control
Use of the platform is at your own risk.
14. Indemnification
Users agree to defend, indemnify, and hold harmless VenueScene, its owners, officers, and affiliates from claims arising out of:
- your use of the platform
- your bookings
- your conduct
- disputes with other users
- payment disputes
- legal or regulatory violations
15. Governing Law
These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.
16. Changes to Terms
VenueScene may update these Terms at any time.
Continued use of the platform after changes constitutes acceptance.
